Shareholder Meetings in the 2nd week of August

Shareholders Meetings in August 2nd Week

1. Waves Corporation Limited (WAVES) – EOGM

Shareholders to Convene for Corporate Restructuring and Credit Extensions

WAVES will hold an EOGM to seek shareholder authorization regarding inter-corporate investments. Specifically, the company plans to approve long-term financial advances/loans up to PKR 500 million (with provisions to extend up to PKR 1,000 million including capitalized return/markup) to its subsidiary, Waves Home Appliances Limited.

2. IBL HealthCare Limited (IBLHL) – EOGM

Election of the Board of Directors

IBLHL will assemble shareholders at its EOGM in Karachi (and via Zoom) to conduct the election of seven directors for the upcoming term.

3. Rafhan Maize Products Company Limited (RMPL) – EOGM

Reconstitution of Governance and Charter Amendment

RMPL is holding its 139th EOGM to vote on special resolutions amending its Memorandum and Articles of Association. This follows strategic equity movements involving major stakeholders (Ingredion Incorporated and Nishat Shareholders) to formally reflect new governance terms and shareholders’ agreements in the company’s constitution.

Terminologies

EOGM (Extraordinary General Meeting): A corporate meeting convened outside the scheduled annual timeline to handle urgent matters that require explicit shareholder consent—such as major financial investments, debt restructuring, or structural charter amendments—which cannot wait until the next AGM.

AGM (Annual General Meeting): A mandatory yearly gathering of shareholders where management presents annual financial audits, declares final dividends, and addresses routine operational governance.

Board Election & Independent Directors: Publicly listed companies periodically hold elections to choose members of the Board of Directors who oversee executive management on behalf of shareholders.

Independent Directors are non-executive members who have no material financial relationship with the company, ensuring unbiased corporate governance and minority shareholder protection.

Book Closure: A designated period during which a company freezes its share transfer register. Investors who purchase shares during book closure are not registered in time to attend or vote at the associated general meeting.

Special Resolution: A formal proposal that requires a higher threshold of shareholder votes (typically at least 75% approval of members present and voting) to pass, rather than a simple majority (Ordinary Resolution). It is required for major structural changes like changing company bylaws or capital reduction.

Memorandum and Articles of Association: The core constitutional documents of a company. The Memorandum defines the company’s external boundary and core objectives, while the Articles specify internal regulations, voting rights, and administrative procedures.
